Biography
Peter O. Clauss is a semi-retired former partner of Pepper Hamilton LLP, where he practiced corporate, securities and mergers and acquisitions law since 1996. Prior to that, he was the senior partner of Clark, Ladner, Fortenbaugh & Young, where he practiced for 38 years. His law degree from Yale was in 1958.
For ten years, he has taught as an Adjunct Professor at Villanova University School of Law.
Mr. Clauss has represented companies in a number of industries, including apparel, automotive, aviation, textile, packaging, chemical, publishing, electrical and construction products, graphic arts, biotechnology, computer software and natural resources. He has handled acquisitions and divestitures for publicly and privately held companies. His experience includes negotiating financing and refinancing arrangements of debt and equity, both public and private. He has handled public offerings and private placements, including private equity and debt placements for U.S. and Canadian privately held and public companies in connection with acquisitions. He has advised regarding prosecution of tender offers for public companies, including the successful prosecution of a Canadian and U.S. cross-border hostile takeover and the successful prosecution of a hostile takeover for a large French conglomerate of a U.S.-based technology company, and has successfully defended several hostile takeovers for listed public companies, (including the successful defense of the largest hostile takeover attempt directed at a Pennsylvania corporation) in addition to a number of consensual tenders. He has international corporate and acquisitions experience in Europe, Canada, Mexico, South America and Japan, particularly in mergers and acquisitions, joint ventures, strategic alliances, and technology licenses and transfers. He has been a frequent lecturer on these and related subjects and has published a number of articles for his firm and in a variety of publications.
